Business Guide: Register your Business with the SEC (Partnership/Corporation)


If you and your business-oriented friends plan to engage into a partnership or come up with a new corporation, you need to get corporate name registration certificate at the Securities and Exchange Commission (SEC) Building along EDSA in Greenhills, Mandaluyong City.

For partnerships, in order to get your business name registration certificate, you must submit the following requirements:

  1. Articles of Partnership
  2. Name Verification Slip (accomplished online or by the counter)
  3. Written Undertaking to Change Corporate Name by any partner
  4. Form F-105 for partnership with foreign equity
  5. Proof of Inward Remittance by foreign partners
For corporations (stock S and non-stock NS), in order to get your SEC registration certificate, you must submit the following requirements:

  1. Articles of Incorporation (S, NS)
  2. Verification Slip Form (S, NS)
  3. Treasurer’s Affidavit (S)
  4. Written Undertaking to Change Corporate Name by any Incorporator or Director (S), by any Trustee (NS)
  5. Notarized Bank Certificate of Deposit where bank is located (S)
  6. Foreign Investment Application Form F-100 (for subsidiaries of foreign corporations, S)
  7. Proof of Inward Remittance by Non Resident-Aliens/Subscribers (S)
  8. Clearance from other government agencies (S)
  9. List of members and amount contributed certified by the Secretary and Treasurer (NS)
  10. Registration fee of P360.00
The SEC business name registration certificate, once received, will be valid for 50 years.
